Welcome to Clear Echo Labs ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Clear Echo Labs website, products, services, software, workflows, applications, communications, and related offerings (collectively, the "Services").
By accessing our website, requesting a demo, using our Services, or otherwise interacting with Clear Echo Labs, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.
1. About Clear Echo Labs
Clear Echo Labs provides workflow automation, maintenance coordination systems, vendor management tools, communication workflows, scheduling functionality, reporting capabilities, and related operational services designed for property managers, service businesses, academic organizations, marketplace operators, and other organizations.
The Services are intended to help customers coordinate maintenance requests, manage vendor relationships, automate communications, document operational activities, and improve workflow efficiency.
2. Eligibility
You must be at least 18 years old and capable of entering into legally binding agreements to use the Services.
If you access or use the Services on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.
3. Service Availability
We may modify, suspend, discontinue, or enhance any part of the Services at any time without prior notice.
While we strive to maintain reliable availability, we do not guarantee uninterrupted access to the Services. Scheduled maintenance, technical issues, third-party outages, or circumstances beyond our control may affect availability.
4. Customer Accounts and Access
Certain Services may be provided through account access, invitation-based access, no-login workflows, unique links, email-based workflows, SMS-based workflows, or other authentication methods.
You are responsible for:
- Maintaining the confidentiality of credentials and access links.
- Restricting unauthorized access to your systems and accounts.
- Promptly notifying us of suspected unauthorized use.
You are responsible for all activities occurring under your account or access credentials.
5. Customer Responsibilities
You agree to use the Services in a lawful and responsible manner.
You are solely responsible for:
- The accuracy of information submitted through the Services.
- Tenant, vendor, property, maintenance, scheduling, and operational data entered into the Services.
- Compliance with applicable laws, regulations, contracts, leases, and licensing requirements.
- Communications sent to tenants, vendors, owners, employees, contractors, and other third parties.
Clear Echo Labs is not responsible for the accuracy, completeness, or legality of customer-submitted content.
6. No Property Management Services
Clear Echo Labs is a software and workflow provider.
We do not:
- Act as a licensed property manager.
- Act as a contractor or subcontractor.
- Perform maintenance work.
- Provide legal advice.
- Guarantee repair outcomes.
- Supervise vendors.
- Make operational decisions on behalf of customers.
Customers remain solely responsible for managing properties, selecting vendors, approving repairs, handling emergencies, complying with applicable laws, and making all business decisions.
7. Vendor and Third-Party Relationships
The Services may facilitate communication between customers, vendors, contractors, tenants, service providers, and other third parties.
Clear Echo Labs:
- Does not employ or supervise vendors.
- Does not guarantee vendor performance.
- Does not verify licenses, insurance coverage, qualifications, or certifications unless explicitly stated otherwise.
- Is not responsible for disputes between customers and third parties.
Any agreements between customers and vendors are solely between those parties.
8. Communications and Notifications
The Services may send notifications through email, SMS, phone, web links, messaging systems, or other communication methods.
You authorize Clear Echo Labs to send operational communications necessary to provide the Services.
You are responsible for obtaining any necessary permissions or consents from tenants, vendors, employees, owners, contractors, or other individuals whose contact information is submitted through the Services.
Message delivery depends on third-party carriers and providers. We do not guarantee delivery, timing, or receipt of any communication.
9. Data and Content Ownership
You retain ownership of the data, documents, photographs, notes, records, communications, and other content you submit to the Services ("Customer Content").
Clear Echo Labs will use Customer Content solely to operate, maintain, secure, support, improve, and provide the Services to that customer.
Customer Content will not be sold, licensed, or used to train artificial intelligence models offered to third parties.
You grant Clear Echo Labs a worldwide, non-exclusive, royalty-free license to host, process, transmit, store, analyze, display, and use Customer Content solely for the purpose of operating, improving, supporting, and providing the Services.
We do not claim ownership of Customer Content.
10. Customer Data Commitments
Clear Echo Labs commits that:
- identifiable Customer Data is never sold;
- identifiable Customer Data is never licensed to third parties;
- identifiable Customer Data is not used for third-party advertising;
- identifiable Customer Data is not used to train AI systems provided to other customers;
- customers may request deletion and export of Customer Data as described in the Privacy Policy.
11. Privacy
Your use of the Services is also governed by our Privacy Policy. The Privacy Policy forms part of these Terms and includes Clear Echo Labs' commitments regarding Customer Data ownership, permitted uses, deletion rights, AI processing, and business continuity.
By using the Services, you acknowledge that information may be collected, processed, stored, and used as described in our Privacy Policy.
12. Acceptable Use
You agree not to:
- Use the Services for unlawful purposes.
- Upload malicious code, malware, or harmful software.
- Attempt to gain unauthorized access to systems or accounts.
- Interfere with the operation or security of the Services.
- Use the Services to harass, threaten, abuse, or defraud others.
- Reverse engineer, copy, or create derivative works from the Services except as permitted by law.
- Misrepresent your identity or authority.
We reserve the right to suspend or terminate access for violations of these Terms.
13. Intellectual Property
The Services, website, software, workflows, branding, logos, designs, content, technology, and related materials are owned by or licensed to Clear Echo Labs and are protected by intellectual property laws.
Except for rights expressly granted under these Terms, no rights are transferred to you.
You may not copy, reproduce, distribute, sell, license, or exploit any part of the Services without our prior written consent.
14. Feedback
If you provide suggestions, recommendations, feature requests, ideas, or feedback regarding the Services, you grant Clear Echo Labs a perpetual, irrevocable, worldwide, royalty-free right to use, modify, and incorporate such feedback without compensation or attribution.
15. Fees and Payments
Certain Services may require payment under separate proposals, agreements, subscriptions, service orders, or pricing schedules.
Unless otherwise agreed:
- Fees are non-refundable.
- Payment obligations are not dependent on usage levels.
- Late payments may result in suspension or termination of Services.
Taxes, duties, and governmental charges are the responsibility of the customer unless prohibited by law.
16. Service Modifications
We may update, modify, replace, or discontinue features, functionality, workflows, integrations, reports, communication methods, or portions of the Services at any time.
We are not liable for any impact resulting from such modifications.
17. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEAR ECHO LABS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.
WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, OPERATE WITHOUT INTERRUPTION, PREVENT DATA LOSS, OR ACHIEVE ANY PARTICULAR BUSINESS RESULT.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEAR ECHO LABS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOST BUSINESS OPPORTUNITIES.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE TOTAL AMOUNT PAID BY THE CUSTOMER TO CLEAR ECHO LABS DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IF NO FEES HAVE BEEN PAID, OUR LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
19. Indemnification
You agree to defend, indemnify, and hold harmless Clear Echo Labs, its owners, officers, employees, contractors, affiliates, successors, and agents from any claims, liabilities, damages, losses, costs, or expenses arising from:
- Your use of the Services.
- Your violation of these Terms.
- Customer Content.
- Your interactions with tenants, vendors, contractors, property owners, or third parties.
- Your violation of applicable laws or regulations.
20. Termination
We may suspend or terminate access to the Services at any time if:
- You violate these Terms.
- Required payments are not made.
- We believe continued access presents legal, security, operational, or business risk.
You may discontinue use of the Services at any time.
Sections that by their nature should survive termination shall remain in effect after termination.
21. Force Majeure
Clear Echo Labs shall not be liable for delays or failures caused by events beyond our reasonable control, including natural disasters, power outages, internet disruptions, labor disputes, government actions, pandemics, cyberattacks, or third-party service failures.
22. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.
23. Dispute Resolution
Any dispute arising from these Terms or the Services shall first be addressed through good-faith negotiations between the parties.
If a dispute cannot be resolved informally, the parties agree that any legal action shall be brought exclusively in the state or federal courts located in Texas, and each party consents to the jurisdiction of those courts.
24. Entire Agreement
These Terms constitute the entire agreement between you and Clear Echo Labs regarding the Services and supersede all prior or contemporaneous understandings regarding the subject matter herein.
25. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
26. Waiver
Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.
27. Changes to These Terms
We may update these Terms from time to time.
Updated versions will be posted on this page with a revised effective date. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
28. Successor Obligations
If ownership or control of Clear Echo Labs changes, any successor providing the Services will be required to honor the Customer Data commitments contained in these Terms and the Privacy Policy.
